Nigel Hsieh
Nigel is a lawyer in Bennett & Philp’s Business Advisory team, with a focus on commercial matters including business transactions, franchising, loan agreements, leasing and shareholder arrangements. He advises clients across a range of industries, with strong emphasis on identifying and managing legal and commercial risk, grounded in sound commercial judgment.
Nigel has experience acting on complex transactions and regularly advises on risk allocation, compliance and commercial terms in the sale and purchase of businesses and franchises, as well as in loan agreements. He is known for his attention to detail and clear communication with clients.
Highlights of Nigel’s experience include:
· Acting on the $2.6 million sale of a medical practice involving layered leasing arrangements (a lease, two subleases and a sub-sublease), including drafting and negotiating transaction documents, advising on compliance warranties, resolving a dispute regarding the agent’s entitlement to commission, and ensuring lease obligations were appropriately addressed across all tiers
· Advising on the $1.6 million sale of a franchised business, ensuring the vendor’s compliance with both the franchising agreement and lease obligations
· Conducting due diligence for the purchase of a camping, fishing and boating business, and identifying that the premises was not permitted for the intended use — and that under the lease, the tenant (not the landlord) was liable to obtain all necessary approvals at its own cost
· Reviewing and advising on franchise agreements for clients including national chains
